Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Zunagen website at zunagen.com, applications, APIs, Mac Agent, Phone Agent, marketplace features, and all related services (collectively, the “Services”) provided by Zunagen (“Zunagen,” “we,” “us,” or “our”).

By creating an account, accessing, or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 16 years old and able to form a binding contract to use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Account registration

• You must provide accurate and complete registration information.
• You are responsible for maintaining the confidentiality of your account credentials and API keys.
• You are responsible for all activity under your account.
• Notify us immediately at hello@zunagen.com if you suspect unauthorized access.

3. Description of Services

Zunagen provides AI engineering tools, including but not limited to:

• AI system design and code generation
• Data analysis and dataset management (DataIQ)
• Model training infrastructure (NeuralForge)
• AI agents, agent training, Mac Agent, and Phone Agent
• Marketplaces for models, datasets, agents, and in-chat products
• API access and deployment features

Features, limits, and availability may change. We may add, modify, or discontinue features at any time. Plan-specific usage limits (for example AI credits, system builds, or training jobs) apply as described at signup or on our pricing page.

4. Subscriptions and payments

• Paid plans are billed through Stripe on a recurring basis unless stated otherwise.
• Prices are shown before purchase and may change with reasonable notice for future billing periods.
• Unless required by law or stated in a specific offer, fees are non-refundable.
• Failure to pay may result in suspension or downgrade of your account.
• Free trials and promotional credits are subject to the limits displayed in the product.

5. Marketplace

If you buy or sell through a Zunagen marketplace:

• Sellers are responsible for the accuracy of listings and for delivering what they offer.
• Buyers must provide accurate order information where required.
• Platform fees, payout terms, and dispute handling are as shown at the time of transaction.
• We may remove listings or suspend accounts that violate these Terms or applicable law.

6. Acceptable use

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable law or regulation
• Generate, distribute, or facilitate malware, fraud, harassment, hate speech, or content that exploits or harms minors
• Attempt to gain unauthorized access to systems, accounts, or data
• Reverse engineer, scrape, or overload the Services except as permitted by law or our API documentation
• Resell or sublicense the Services without our written permission
• Use Mac Agent, Phone Agent, or tool features to access systems or data without proper authorization
• Circumvent usage limits, billing, or security measures
• Submit content that infringes intellectual property or privacy rights of others

We may investigate violations and suspend or terminate accounts at our discretion.

7. AI-generated output

The Services use artificial intelligence. AI outputs may be inaccurate, incomplete, or inappropriate. You are solely responsible for reviewing, validating, and using any output before relying on it — especially for code deployment, medical, legal, financial, or safety-critical decisions.

AI output is not professional advice. We do not guarantee that generated code is secure, bug-free, or suitable for production without your review.

8. Your content

You retain ownership of content you submit to the Services (“User Content”), subject to the licenses below. You represent that you have the rights needed to submit User Content and that it does not violate these Terms or third-party rights.

You grant Zunagen a worldwide, non-exclusive license to host, store, process, reproduce, and display User Content solely to operate, provide, and improve the Services — including sending prompts to AI providers as described in our Privacy Policy.

If you publish content to a marketplace or shared link, you grant other users the rights necessary to use that content as intended by the feature (for example downloading a purchased dataset or hiring an agent).

9. Intellectual property

Zunagen and its licensors own the Services, software, branding, and documentation, excluding User Content. These Terms do not grant you any rights to our trademarks or branding except as needed to use the Services.

10. API keys and integrations

If you use API keys, GitHub OAuth, Composio integrations, or bring-your-own AI provider keys, you are responsible for securing those credentials and for all actions taken through them. Third-party integrations are subject to their own terms.

11. Mac Agent and Phone Agent

Device agents can perform powerful actions on your computer or phone when you enable them (including shell commands, file access, screen interaction, and location). You are solely responsible for configuring permissions and for any actions agents take on your devices. Use these features only on systems you own or are authorized to control.

12. Privacy

Our collection and use of personal information is described in the Privacy Policy, which is incorporated into these Terms by reference.

13. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZUNAGEN AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

15. Indemnification

You agree to indemnify and hold harmless Zunagen from claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Services, your User Content, your violation of these Terms, or your violation of any third-party rights.

16. Suspension and termination

You may stop using the Services at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Services. Upon termination, your right to use the Services ends. Provisions that by nature should survive (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

17. Changes to Terms

We may update these Terms from time to time. We will post the updated Terms on this page and update the “Last updated” date. Continued use after changes become effective constitutes acceptance. If you do not agree to updated Terms, you must stop using the Services.

18. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles, except where mandatory consumer protection laws in your country of residence apply.

Any dispute arising from these Terms or the Services will be resolved in the state or federal courts located in Delaware, and you consent to their jurisdiction, except where prohibited by applicable law.

19. General

• Entire agreement — These Terms and the Privacy Policy are the entire agreement between you and Zunagen regarding the Services.
• Severability — If any provision is unenforceable, the remaining provisions remain in effect.
• No waiver — Failure to enforce a provision is not a waiver of our right to enforce it later.
• Assignment — You may not assign these Terms without our consent. We may assign them in connection with a business transfer.
